The California Attorney General is reviewing the proposed sale of substantially all of the assets of Gardens Regional Hospital and Medical Center, Inc., a California nonprofit public benefit corporation. Gardens Regional Hospital and Medical Center, Inc. leases and operates a 137-bed general acute care hospital in Hawaiian Gardens. The “Asset Purchase Agreement” is between Gardens Regional Hospital and Medical Center, Inc. and Strategic Global Management Inc., a California corporation. The proposed sale transaction is being reviewed as required by Corporations Code sections 5914 et seq.
The California Attorney General will conduct a public meeting concerning Gardens Regional Hospital and Medical Center on October 19, 2016, beginning at 11 a.m., at the City of Hawaiian Gardens' City Hall in the City Council Chambers located at 21815 Pioneer Blvd, Hawaiian Gardens, CA 90716. The purpose of the public meeting is to receive comments on the proposed sale and to consider the Health Care Impact Statements prepared by consultants engaged by the California Attorney General in connection with the California Attorney General's review of this proposed transaction, as required by Corporations Code section 5914 et seq. Prior to the public meeting, the Health Care Impact Statements will be available on the California Attorney General's website at http://www.oag.ca.gov/charities/nonprofithosp.
Persons wishing to present their views orally at the public meeting may do so by submitting a sign-up sheet available at the public meeting, by sending an email to firstname.lastname@example.org by October 18, 2016, or by calling Wendi Horwitz at (213) 897-2178 by October 18, 2016. The terms of the proposed transaction are set forth in the written notice to the Attorney General. A copy is posted on Gardens Regional Hospital and Medical Center’s website at www.grhmc.org or a CD of the written notice is available upon request by sending an email to Jennifer.Wayner@doj.ca.gov or by calling 213-897-2194 and provide your name and mailing address. A copy of the written notice is also available for public inspection at the facility’s Administration Office located at 21530 South Pioneer Blvd., Hawaiian Gardens, CA 90716.
